Dear --------,

Due to business reasons connected with the new online tax law in Connecticut, we have chosen to remove all Connecticut affiliates, effective March 31st, 2009. We regret having to do this and hope that the law may be struck down in the future so that we may be able to resume the productive business relationships we have enjoyed with you. We can assure you all commissions earned through March 31, 2009 will be paid on the normal payment schedule, however, we will be unable to pay commission on any sales generated after March 31, 2009.

Even though you have seven days before you are expired from our program we would appreciate it if you would remove our links from your site effective immediately.

We appreciate your understanding in this matter and look forward to working with you again.

Magi, what might work better is to use your list and when you want to update, copy and paste list in new post with addition(s) in correct spot. If the terminations start coming in quickly it would be easier if you update yourself. The additions get lost in the sea of posts.

Also, remember many merchants will not give residency as a reason for many different reasons. This is especially true when the terminations come after the date the law takes effect (it might be considered an admission nexus existed).

To make following up easier, list the networks.

Merchants may remove affiliates from their programs for many different reasons, including violation of legal terms, inactivity, changes in site content, or if they reside in the states of New York or Connecticut due to the tax nexus, etc. If you feel that you have been removed in error, or would like further clarification on why you were removed, please contact affiliates@lakeside.com."

Just got this notice ..

Looks alittle ahead of schedule ...???

We regret to inform you that we have decided to discontinue relationships with affiliates who have a "physical presence" in the states of CT, NC, and RI due to recent changes in sales tax laws. We will continue to monitor this situation very closely. There is a drive in RI to repeal this tax, and in NY Amazon is fighting the law in the courts. Overstock.com values your advertising efforts, and hopes to be in a position to continue our relationship
for years to come. However, we are writing to inform you that the Connecticut state legislature has
introduced a bill which, if passed, will adversely affect both of our businesses.

Connecticut House Bill 5481 (An Act Concerning the Collection and Remittance of the Sales Tax by
Remote Sellers) ("HB 5481") has been introduced for consideration. HB 5481 was modeled on a bill first
passed in New York. In essence, HB 5481 attempts to establish the responsibility for collection of sales
tax on out-of-state retailers if those out-of-state retailers use Connecticut-based affiliate advertisers.

We believe such a bill is not only harmful to business, but unconstitutional and contrary decisions by the
U.S. Supreme Court. More importantly, if such a bill is passed, Overstock.com will be forced to sever
its relationships with all Connecticut-based affiliate advertisers before the bill becomes effective. We
have done this in each state where such legislation has passed: New York, North Carolina and Rhode
Island.

If passed, HB 5481 is scheduled to go into effect on July 1, 2010. However, out of an abundance of
caution, we may be forced to sever our relationships immediately upon passage of HB 5481. Thus, this
letter is notice to you that if such a law passes, termination of services could occur without prior notice
to you. We will, however, try to provide advance notice.

Additionally, when opposed, we have seen bills like HB 5481 change to include variations of
unconstitutional tax notice and reporting laws and other types of bills equally harmful to our business
and customer relations. Such variations may not specifically mention an affiliate advertising business
model. The attempted justification for all such unconstitutional laws rests on the types of business
connections a business such as ours has to the particular state. Accordingly, states which seek to justify
unconstitutional burdens on the basis of minor business connections, will cause us to reconsider
whether we can afford to maintain our business connections in those states, including whether we
ought to discontinue the affiliate advertizing program we both benefit from. We believe it is in both
your and our best interests to oppose all types of unconstitutional bills.

Again, we hope legislation such as this does not pass. Overstock.com values your advertising efforts and
is hopeful that, like other states recently examining and rejecting these types of laws, Connecticut will
also see that this bill is bad for business and bad for Connecticut.
